1. Introduction

These Terms of Service (the "Terms") govern the use of the website https://corvalys.eu (the "Site") and of the services offered by Corvalys LTD (a company being incorporated under the laws of the Republic of Cyprus, hereinafter "Corvalys", "we" or "us"), reachable at info@corvalys.eu.

By accessing the Site or requesting any of our services you declare that you have read, understood and accepted these Terms. If you do not agree, please refrain from using the Site.

2. Services Offered

Through the Site, Corvalys presents and markets:

  • AI consulting services — strategy, advisory, training and implementation support on artificial intelligence, automation and data-driven decision-making for European small and medium-sized enterprises;
  • Software-as-a-Service tools (planned, not yet available) — software products that Corvalys intends to release at a later stage. Any such future release will be subject to specific terms and conditions that will be made available at the time of launch.

The description of the services on the Site is provided for information purposes only and does not constitute a contractual offer. Each consulting engagement is subject to a specific written proposal or agreement signed by both parties.

3. Use of the Site

You undertake to use the Site lawfully and in accordance with these Terms. In particular, you agree not to:

  • use the Site in a way that violates applicable laws or regulations;
  • attempt to gain unauthorised access to any part of the Site, to any server on which it is hosted, or to any computer or database connected to it;
  • use any automated means (bots, crawlers, scrapers) to extract content from the Site beyond what is permitted by its robots.txt file and by common search-engine practices;
  • reverse engineer, decompile or disassemble any software component of the Site, except to the extent strictly permitted by mandatory law;
  • upload, post or transmit malicious code, viruses, worms, Trojan horses or any other harmful material;
  • impersonate any person or entity, or misrepresent your affiliation with a person or entity;
  • interfere with or disrupt the integrity or performance of the Site;
  • use the Site to send unsolicited commercial communications.

4. Intellectual Property

All intellectual property rights in the Site and its content — including but not limited to text, graphics, logos, icons, images, audio and video clips, software and the overall look and feel — are owned by Corvalys LTD or its licensors and are protected by copyright, trademark and other applicable laws of Cyprus, of the European Union and of international treaties.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for personal or internal business purposes. Any other use — in particular, reproduction, distribution, modification, public display or creation of derivative works — requires the prior written consent of Corvalys LTD.

The names "Corvalys" and any associated logos are trademarks of Corvalys LTD. Any unauthorised use is strictly prohibited.

5. Third-Party Content and Links

The Site may contain links to third-party websites, tools or resources. Such links are provided solely for your convenience. Corvalys does not endorse and is not responsible for the content, products or services of any third party, nor for the practices described in their privacy or terms documents. Visiting a third-party site is entirely at your own risk.

6. Warranty Disclaimer

The Site and the information published on it are provided "as is" and "as available", without warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement and absence of errors.

Corvalys does not warrant that:

  • the Site will be uninterrupted, secure or error-free;
  • the information on the Site is always accurate, complete or up-to-date;
  • any defect in the Site will be corrected within a given timeframe.

No statement on the Site constitutes legal, tax, financial or professional advice; before taking any decision you should obtain independent professional advice.

7. Limitation of Liability

To the maximum extent permitted by the applicable law of Cyprus and by mandatory EU consumer-protection law, Corvalys LTD, its directors, employees and contractors shall not be liable for any indirect, incidental, special, consequential or punitive damage arising from or connected to your use of (or inability to use) the Site, including loss of profits, revenue, data, goodwill or business opportunity, even if Corvalys has been informed of the possibility of such damage.

The total aggregate liability of Corvalys arising out of or in connection with these Terms shall not exceed one hundred euros (EUR 100) or, if higher, the amounts paid by you to Corvalys in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, in particular for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded by law.

8. Indemnification

You agree to indemnify, defend and hold harmless Corvalys LTD and its representatives from and against any claim, demand, liability, damage, cost or expense (including reasonable legal fees) arising from your breach of these Terms or from your unlawful use of the Site.

9. Changes to the Terms

Corvalys reserves the right to amend these Terms at any time. The revised version will be published on this page with an updated "Last updated" date. Material changes will be highlighted where appropriate. Your continued use of the Site after the effective date of the revised Terms constitutes acceptance of those changes.

10. Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision shall be severed from the remaining provisions, which shall continue in full force and effect. The parties shall replace the invalid provision with a valid one that achieves, as closely as possible, the original economic and legal intent.

11. Applicable Law

These Terms and any non-contractual obligation arising out of or in connection with them are governed by the laws of the Republic of Cyprus, without prejudice to the mandatory consumer-protection provisions of the Member State in which you have your habitual residence, where applicable under Article 6 of Regulation (EC) 593/2008 (Rome I).

12. Jurisdiction

Subject to the previous paragraph and to any applicable EU consumer-protection rules (in particular Regulation (EU) 1215/2012 "Brussels I bis"), any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Courts of Nicosia, Cyprus.

Where you act as a consumer within the meaning of Directive 2011/83/EU, you retain the right to bring proceedings before the courts of your place of residence and to access the European Commission's Online Dispute Resolution platform, available at ec.europa.eu/consumers/odr.
